Terms of Service

These Terms of Service ("Terms") govern your access to and use of CdBase ("we", "our", or "us"), including the website at cdbase.dev, the self-hosted software, and any related services (collectively, the "Service"). By using the Service you agree to be bound by these Terms.

1. License

CdBase is open-core software. The core is released under the MIT License and is free to use, modify, and distribute. Pro and Enterprise features are governed by a commercial license. When you purchase a Pro license you receive a non-exclusive, non-transferable right to use Pro features on your own infrastructure for the duration of your subscription.

You may not sublicense, resell, or make the software available as a hosted service to third parties without our written consent.

2. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorised access to any systems or networks.
  • Reverse-engineer or decompile the Pro/Enterprise closed-source components.
  • Use the Service to store or transmit malicious code.
  • Interfere with or disrupt the integrity or performance of the Service.

3. Account & License Keys

License keys are issued per organisation. You are responsible for keeping your license key confidential and for all activity that occurs under it. Notify us immediately at [email protected] if you suspect unauthorised use.

We reserve the right to revoke a license key if we determine it is being used in violation of these Terms.

4. Payments & Subscriptions

Pro subscriptions are billed monthly or annually through our payment processor. All fees are stated in USD and are exclusive of applicable taxes. Subscriptions renew automatically until cancelled.

You may cancel at any time through the customer portal. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by applicable law.

5. Data Ownership

CdBase is self-hosted software. Your data — including database schemas, migration scripts, and user information — resides entirely on your own infrastructure. We do not access, collect, or store your operational data.

The only data we receive is what you voluntarily provide during license purchase or support requests (e.g. your name, email, and organisation name). See our Privacy Policy for details.

6. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be error-free, uninterrupted, or free of harmful components. You use the Service at your own risk.

7. Limitation of Liability

To the fullest extent permitted by law, CdBase and its contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, or profits — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising from these Terms shall not exceed the greater of (a) the fees paid by you in the twelve months preceding the claim or (b) USD $100.

8. Indemnification

You agree to indemnify and hold harmless CdBase and its contributors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or violation of these Terms.

9. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be announced via email or a notice on the website. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
